Terms of Service

1. Acceptance of Terms
By accessing or using the MaxAct™ CRM platform, website (maxact.ai), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and MaxAct ("we," "us," or "our").
2. Description of Service
MaxAct builds custom AI-native CRM systems that are deployed on customer-owned infrastructure. Unlike traditional SaaS products, MaxAct operates on a perpetual license model: we build your CRM, deploy it to your infrastructure, and hand over full ownership.
The Service includes the design, development, and initial deployment of a CRM system tailored to your specifications, along with source code access and documentation necessary for ongoing operation.
3. Perpetual License
Upon completion of the build and full payment, MaxAct grants you a perpetual, non-exclusive, non-transferable license to use, modify, and operate the delivered CRM system. Under this license:
- You own the deployment on your infrastructure outright.
- There are no recurring license fees payable to MaxAct for continued use of the delivered system.
- You receive full source code access to the deployed application, enabling you or any developer you engage to make modifications, extensions, or customizations.
- The license covers the specific build delivered to you and does not extend to future versions, updates, or separate products developed by MaxAct unless explicitly included in your agreement.
4. Customer Responsibilities
Because MaxAct CRM is deployed on your own infrastructure, you are responsible for:
- Maintaining and managing your own infrastructure accounts, including but not limited to Supabase, Vercel, and any AI API providers.
- Paying all third-party infrastructure costs directly to those providers (e.g., Supabase hosting fees, Vercel deployment costs, AI inference costs).
- Ensuring the security and access controls of your infrastructure accounts.
- Maintaining backups of your data as you see fit.
- Any modifications, customizations, or extensions you or third-party developers make to the delivered system after handoff.
5. Intellectual Property
MaxAct retains all intellectual property rights in the core MaxAct platform, including its underlying architecture, frameworks, proprietary components, and any pre-existing code or tools used in building your CRM.
You retain full ownership of:
- All data stored in your CRM and infrastructure accounts.
- Any custom configurations, workflows, or business logic specific to your deployment.
- Any modifications or extensions you or your developers create after delivery.
You may not redistribute, resell, or sublicense the MaxAct platform or its source code to third parties as a standalone product or competing service.
6. Payment Terms
MaxAct operates on a one-time build fee model. Payment terms, amounts, and schedules will be outlined in your individual project agreement or invoice. Unless otherwise specified:
- The build fee covers design, development, deployment, and initial handoff of your CRM system.
- No recurring fees are charged by MaxAct for continued use of the delivered system.
- Ad-hoc support or additional development work requested after delivery will be quoted separately and billed at the agreed-upon rate.
7. Limitation of Liability
To the maximum extent permitted by applicable law, MaxAct shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.
MaxAct's total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to MaxAct for the Service.
MaxAct is not responsible for downtime, data loss, or service disruptions caused by third-party infrastructure providers (including but not limited to Supabase, Vercel, or AI API providers), nor for issues arising from modifications made to the system by you or third parties after delivery.
8. Termination
Because the MaxAct model is based on ownership rather than subscription, there is no ongoing service to "cancel" in the traditional sense. Once your CRM is built and delivered, it is yours to operate indefinitely.
MaxAct may terminate or suspend any ongoing support engagement if you breach these Terms or fail to make agreed-upon payments. In such cases, your perpetual license to the already-delivered system remains intact.
Either party may terminate an active build engagement by providing written notice. Fees for work already completed up to the date of termination are non-refundable.
9. Changes to Terms
MaxAct reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of California.
